Terms of Service

To ensure successful project delivery, clients must:

• Provide clear, detailed project requirements and specifications in writing
• Respond to requests for information and feedback within 48 hours during business days
• Provide necessary access to third-party services, accounts, and hosting platforms
• Review and approve deliverables within specified timeframes (typically 72 hours)
• Make timely payments according to the agreed schedule
• Maintain confidentiality of any proprietary methods or information shared
• Comply with all applicable laws and regulations in their jurisdiction

One-time Projects (LaunchPad):

• Full payment of $1,497 USD required before project commencement
• Payment processed securely via Stripe
• No hidden fees or additional charges unless scope changes are requested

Recurring Services (Growth Partner):

• Monthly payment of $2,497 USD charged on the same date each month
• Minimum commitment period may apply
• Additional hours beyond 120/month billed at agreed hourly rate

LaunchPad Projects: Typical delivery within 14-21 business days from project start, subject to:

• Timely client feedback and approvals
• Reasonable project scope and complexity
• No major scope changes during development

Delays caused by client non-responsiveness or scope changes may extend delivery timelines. We will communicate any potential delays promptly.

Client Rights:

Upon full payment, clients receive:

• Full ownership of custom code written specifically for their project
• Complete source code via managed Git repository
• All custom assets, designs, and documentation created
• Rights to use, modify, and commercialize the delivered product

Hypebrand Retained Rights:

• Pre-existing frameworks, libraries, tools, and methodologies
• General business processes and development practices
• Right to use project as anonymized case study (with client approval)
• Open-source libraries and third-party components remain under original licenses

What We Guarantee:

• Services performed with professional skill and industry standards
• Delivered MVP will be functional and meet agreed specifications
• Bug fixes for 30 days post-delivery at no additional charge
• Code quality suitable for production deployment

Disclaimers:

We do not guarantee or warrant:

• Specific business outcomes, revenue, or user adoption rates
• Investment success or funding acquisition
• Compatibility with future third-party service changes
• Performance under extreme load conditions (unless specifically agreed)

Maximum Liability: Hypebrand Private Limited's total liability for any claim arising from these services shall not exceed the total amount paid by the client for the specific project or three months of subscription fees for ongoing services.

Excluded Damages: In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures of third-party services.

Termination by Client:

• One-time projects: Subject to refund policy terms
• Ongoing services: 30 days written notice required

Termination by DayZero:

• 7 days notice for non-payment or breach of terms
• Immediate termination for illegal activities or abuse

Upon Termination:

• Client receives all completed work and deliverables
• Final invoice for work completed to termination date
• Data and access will be provided for 30 days for transition

We are committed to protecting client data and privacy in accordance with applicable laws including India's Information Technology Act, 2000, and international standards where applicable.

• Client data will be processed only as necessary for service delivery
• We implement appropriate security measures to protect sensitive information
• Data retention and deletion policies as outlined in our Privacy Policy
• Clients have rights to access, correct, and delete their personal data

Governing Law: These terms are governed by the laws of India and subject to the jurisdiction of Mumbai courts.

Resolution Process:

1. Good faith negotiation between parties (30 days)
2. Mediation through mutually agreed mediator (60 days)
3. Binding arbitration under Indian Arbitration and Conciliation Act, 2015
4. Arbitration venue: Mumbai, India
